Terms of Service

By accessing or using any Paean service—including the Paean membership platform (one.paean.ai), the Paean mobile application, and associated hardware products such as Paean Ring, Paean Pal Zero, and Paean Note (collectively, the "Services")—you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services. These Terms constitute a legally binding agreement between you and Paean AI Inc. ("Paean," "we," "us," or "our"). We may update these Terms from time to time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

You must be at least 18 years old to create an account and use the Services. By using the Services, you represent that you meet this requirement and that all information you provide is accurate and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at legal@paean.ai if you suspect any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

Certain features of the Services require a paid subscription. By subscribing, you authorize us to charge your payment method on a recurring basis at the then-current subscription price. All fees are non-refundable except as required by law or as expressly stated in our refund policy. We may change subscription prices with at least 30 days' notice. If you do not cancel before the price change takes effect, you agree to pay the new price.

Hardware purchased through Paean is subject to the separate warranty policy available at paean.ai/legal/warranty. Title and risk of loss pass to you upon delivery. You are responsible for ensuring that hardware shipments comply with all applicable import regulations in your country.

Paean's AI-powered features process voice recordings, health data, and other personal information to provide personalized insights and recommendations. By using these features you consent to this processing as described in our Privacy Policy. AI-generated outputs are provided for informational purposes only. They do not constitute medical, legal, or professional advice. You should not rely solely on AI outputs for decisions affecting your health or safety.

You agree not to: • Use the Services for any unlawful purpose or in violation of any applicable regulations. • Attempt to reverse-engineer, decompile, or disassemble any component of the Services. • Transmit any content that is harmful, abusive, defamatory, or infringing on intellectual property rights. • Interfere with or disrupt the integrity or performance of the Services or third-party data contained therein. • Use automated means to access the Services without our express written permission.

All content, software, trademarks, and other materials made available through the Services are owned by or licensed to Paean and are protected by applicable intellectual property laws. These Terms do not grant you any rights in such materials beyond the limited license to use the Services as described herein. You retain ownership of content you create and submit through the Services. By submitting content, you grant Paean a non-exclusive, worldwide, royalty-free license to use, store, and process that content for the purpose of providing and improving the Services.

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at paean.ai/privacy to understand our practices.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PAEAN DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PAEAN, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO PAEAN IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Paean and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another person or entity.

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or the Services shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.
